Job Description
Adams & Martin Group has partnered with reputable law firm in Newport Beach that is seeking a detail-oriented Corporate Paralegal to handle research, corporate filings, document drafting, and deal assistance. This role involves preparing ancillary documents, assembling signature packets, compiling final executed documents, and performing various assigned tasks.
Essential Duties:
- Corporate Governance: Manage entity formation, prepare stock certificates, and draft documents for amendments, withdrawals, mergers, conversions, and dissolutions of corporations, partnerships, and LLCs.
- Transactional Support: Assist with corporate transactions and venture capital activities, including conducting UCC/lien searches, supporting acquisition closings, handling security filings (including blue sky filings), and facilitating merger and reorganization transactions.
- Filings Management: Draft and file annual reports and other necessary documents to maintain good standing for entities in Delaware, Illinois, California, and other states.
- Minute Book Maintenance: Keep corporate Minute Books up-to-date.
- Invoice Processing: Process invoices for Statutory Registered Agents.
- Database Maintenance: Manage and maintain the Athennian database.
Education and Experience:
- Bachelor's degree and/or paralegal certificate with at least fouryears of relevant experience.
- Law firm experience is preferred.
- Demonstrated ability to work collaboratively in a team environment.
- Skilled in managing multiple priorities in a fast-paced, deadline-driven setting, with adaptability to workflow changes and a strong focus on meeting deadlines.
- Excellent skills in reading, writing, grammar, punctuation, proofreading, and document formatting.
